3. CONFIDENTIALITY AND PROPRIETARY INFORMATION
1. Purpose and Scope
These Business Development and Sales Communications Terms and Conditions (“Communication T&Cs”) govern all non‑contractual communications issued by Think Systems, Inc. (“Think”), including but not limited to emails, messages, presentations, proposals, and discussions conducted for business development, sales, recruiting, or partnership purposes.
These Communication T&Cs apply prior to the execution of any formal written agreement between Think and the recipient.
2. Non‑Binding Communications
All communications from Think provided under these Communication T&Cs are non‑binding and are furnished for discussion, informational, and evaluation purposes only.
Unless expressly stated in a written agreement executed by authorized representatives of both parties, no communication shall be construed as:
- A binding offer
- A contractual commitment
- An agreement on pricing, scope, availability, timelines, or deliverables
Any binding relationship between Think and the recipient shall be governed exclusively by a duly executed Master Services Agreement, Statement of Work, placement agreement, or other written contract.
3. Confidentiality and Proprietary Information
Communications may contain confidential, proprietary, or commercially sensitive information belonging to Think.
Recipients agree that such information:
- Is provided solely for evaluating a potential business relationship with Think
- Shall not be disclosed, distributed, or used for any other purpose without Think’s prior written consent
If the recipient is not the intended party, any review, use, copying, or distribution of the communication is prohibited, and the recipient must notify the sender and delete the communication.
4. Accuracy and Reliance
While Think strives to ensure the accuracy of its communications, all information is provided “as‑is” and may be subject to change without notice.
Recipients acknowledge that:
- They may not rely on communications as final, complete, or guaranteed
- Commercial terms, service descriptions, and availability are subject to confirmation through formal agreement
5. No Obligation to Proceed
Nothing in these Communication T&Cs obligates either party to:
- Continue discussions
- Enter into a business relationship
- Enter into any agreement
Think reserves the right to discontinue discussions at its sole discretion.
6. Intellectual Property
All intellectual property, methodologies, materials, concepts, and know‑how referenced or shared in communications remain the exclusive property of Think unless otherwise agreed in writing.
No license or right is granted by implication or otherwise through communications governed by these Communication T&Cs.
7. Governing Law
These Communication T&Cs shall be governed by and construed in accordance with the laws of the State of Maryland, without regard to conflict‑of‑law principles.
8. Precedence
In the event of any inconsistency between these Communication T&Cs and a subsequently executed written agreement, the terms of the executed agreement shall control.
